Foresight Institute of Research and Translation (FIRAT) Nigeria

1. Definitions

The following terms, when capitalised in this Agreement, carry the meanings set out below:

"Agreement" means these Terms of Service, together with any policies incorporated herein by reference, as amended from time to time.
"Services" means all research, translation, capacity-building, consulting, data intelligence, event programming, and digital services offered by FIRAT through the Website or otherwise.
"We," "Us," "Our," and "FIRAT" refer to the Foresight Institute of Research and Translation, operating from its registered office in Ibadan, Oyo State, Nigeria.
"Website" means the digital platform accessible at firat.ng, including all subdomains and associated digital assets.
"User," "You," and "Your" refer to any natural or legal person who accesses the Website or engages with the Services.
"Content" means all text, data, graphics, software, research outputs, publications, and other materials published on the Website by FIRAT.
"Event" means any seminar, conference, workshop, training programme, or other organised activity offered by FIRAT and available for registration through the Website.

2. Acceptance of Terms

By accessing the Website or using the Services in any manner, You confirm that You have read, understood, and agree to be bound by this Agreement. If You are accessing the Website on behalf of a legal entity, You represent and warrant that You have authority to bind that entity to this Agreement.

You must be at least eighteen (18) years of age to use the Services. By accepting this Agreement, You represent that You meet this requirement. If You do not agree to any provision of this Agreement, You must immediately cease use of the Website and the Services.

3. Description of Services

FIRAT provides the following categories of Services:

Research & Development — applied and translational research across health, technology, and social development sectors
Translation & Localisation — professional language services including academic, technical, and policy documents
Capacity Building — training programmes, workshops, and institutional development initiatives
Strategic Consulting — advisory services to public and private sector clients
Data Intelligence — data collection, analysis, and reporting services
Event Programming — conferences, seminars, and networking events, including paid and complimentary registrations

The specific scope, timelines, and fees applicable to any particular engagement are set out in a separate written agreement or service order between FIRAT and the relevant User.

4. User Obligations

4.1 Lawful Use

You agree to use the Website and the Services solely for lawful purposes and in a manner consistent with all applicable laws and regulations. You must not use the Website in any way that causes, or is likely to cause, disruption to the Website or impairment of its availability or accessibility.

4.2 Accuracy of Information

Where You submit information to FIRAT — including through registration forms, contact forms, or event sign-up processes — You represent and warrant that all information provided is true, accurate, current, and complete. You agree to maintain the accuracy of such information and to notify FIRAT promptly of any changes.

4.3 Prohibited Conduct

The following conduct is expressly prohibited:

Transmitting unsolicited commercial communications or spam through the Website
Introducing malicious code, viruses, or other harmful material to the Website
Attempting to gain unauthorised access to any part of the Website, its servers, or any related systems
Collecting or harvesting any personally identifiable information from the Website without FIRAT's written consent
Using the Website or its Content for any purpose that is unlawful, harmful, or contrary to FIRAT's published guidelines
Reproducing, distributing, or commercially exploiting any Content without prior written authorisation from FIRAT

Breach of this Section 4.3 may result in immediate suspension of access to the Services and, where applicable, referral to law enforcement authorities.

5. Intellectual Property

5.1 Ownership

All intellectual property rights in and to the Website and its Content — including but not limited to research methodologies, publications, software, datasets, brand materials, and training content — vest exclusively in FIRAT or its licensors. Nothing in this Agreement transfers any intellectual property right to You.

5.2 Restricted Use

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and its Content solely for Your own informational, non-commercial purposes. You must not:

Copy, reproduce, or republish any Content in any medium without prior written consent
Modify, adapt, or create derivative works from the Content
Sub-licence, sell, or otherwise commercially exploit the Content
Remove or alter any copyright, trademark, or other proprietary notices

5.3 Trademarks

"FIRAT," the FIRAT logo, and all related marks, names, and slogans are trademarks or service marks of FIRAT. You may not use these marks without FIRAT's prior written permission.

6. Event Registration and Participation

6.1 Registration

By registering for an Event through the Website, You enter into a binding commitment to attend and abide by the rules and code of conduct applicable to that Event. FIRAT reserves the right to decline or cancel a registration at its discretion, in which case any fees paid will be refunded in accordance with Section 8 below.

6.2 Accuracy of Registration Data

You represent and warrant that all information submitted during registration — including Your name, contact details, and organisational affiliation — is accurate and current. Submission of false or misleading information may result in cancellation of Your registration without refund.

6.3 Communications

By registering for an Event, You consent to receive transactional communications from FIRAT relating to that Event. These communications may include confirmation emails, logistical updates, and post-event materials. This consent is separate from any consent You may provide for marketing communications under FIRAT's Privacy Policy.

7. Third-Party Services

The Website may link to, or integrate with, third-party platforms and services for purposes including payment processing, communication, and analytics. FIRAT does not control and is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is subject to the terms and policies of the respective third party. FIRAT accepts no liability for loss or damage arising from Your use of any third-party service accessed through the Website.

8. Fees and Payments

Where the Services or an Event require payment, the applicable fee will be stated clearly at the point of registration or engagement. Payment must be completed in full prior to the commencement of the relevant Service or Event.

Refund requests will be considered on a case-by-case basis. Refunds are generally available where a Service has not been delivered due to a material failure on the part of FIRAT, or where an Event is cancelled by FIRAT. Requests must be submitted in writing to within fourteen (14) days of the relevant transaction date.

Chargebacks initiated without prior written engagement with FIRAT may be disputed and may result in suspension of access to future Services.

9. Limitation of Liability

9.1 Exclusion of Indirect Loss

To the fullest extent permitted by applicable law, FIRAT shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with Your use of the Website or the Services, including but not limited to loss of profits, loss of data, loss of business opportunity, or reputational damage, even if FIRAT has been advised of the possibility of such loss.

9.2 Cap on Direct Liability

Where FIRAT's liability cannot be excluded by law, FIRAT's total aggregate liability to You arising from or in connection with this Agreement shall not exceed the amount paid by You to FIRAT in the twelve (12) months preceding the event giving rise to the claim.

9.3 No Warranties

The Website and its Content are provided on an "as is" and "as available" basis. FIRAT makes no representations or warranties, express or implied, as to the accuracy, completeness, reliability, suitability, or availability of the Website or its Content for any purpose.

10. Indemnification

You agree to indemnify, defend, and hold harmless FIRAT and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with: (a) Your access to or use of the Website; (b) Your breach of any provision of this Agreement; (c) Your violation of any applicable law or regulation; or (d) any content or information You submit to the Website.

11. Termination

FIRAT reserves the right to suspend or terminate Your access to the Website and the Services, with or without notice, where: (a) You have breached any provision of this Agreement; (b) FIRAT is required to do so by applicable law; or (c) FIRAT determines, in its sole discretion, that continued access is not in the interest of FIRAT or other Users. Termination does not affect any rights or obligations accrued prior to the date of termination.

12. Severability and Entire Agreement

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable by a competent court, that provision shall be deemed severed from the Agreement, and the remaining provisions shall continue in full force and effect. This Agreement, together with FIRAT's Privacy Policy and any applicable service order, constitutes the entire agreement between You and FIRAT with respect to the Website and supersedes all prior discussions, representations, and agreements.

13. Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it — whether contractual or non-contractual — shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The parties irrevocably submit to the exclusive jurisdiction of the competent courts of Ibadan, Oyo State, Nigeria, to resolve any such dispute or claim.
